General Terms and Conditions

for the use of the services offered by SHERIFF Security SRL,

(as at: June 2025)

I. Scope of application

These General Terms and Conditions (GTC) apply to all offers, contracts, deliveries and services of SHERIFF Security SRL, including consulting and information. They become a binding part of the contract when the customer places an order.
Any deviating terms and conditions of the customer shall only apply if they have been expressly confirmed in writing by SHERIFF Security SRL.

II Content of the contract

Pre-contractual communications (e.g. offers, descriptions, cost estimates) are non-binding, unless expressly agreed otherwise.
The written order confirmation of SHERIFF Security SRL is exclusively authoritative for the content and scope of the contract. Amendments to the contract and ancillary agreements must be made in writing.
We reserve the right to make technical changes in the course of technical progress or to optimize the service.

III Prices

Unless otherwise stated, all prices are exclusive of statutory VAT and ex works or ex warehouse St.Gallen. Unless otherwise agreed, packaging, assembly and shipping costs are not included in the price.
Should taxes, duties or cost factors (such as wages, material costs) change after conclusion of the contract, SHERIFF Security SRL is entitled to adjust the prices accordingly. In the event of a price increase of more than 10%, the customer has the right to withdraw from the contract.

IV. Delivery times, delivery, transfer of risk

Delivery times are non-binding unless confirmed as binding in writing. The delivery period begins after receipt of the order confirmation and clarification of all execution details.
In the event of force majeure (e.g. material shortages, strikes, official measures, transport problems), the delivery period shall be extended by the duration of the hindrance. Claims for damages due to delays are excluded.
The risk is transferred to the customer or a third party designated by the customer at the latest when the goods are handed over. Partial deliveries are permitted.

V. Assembly and maintenance

The following additional conditions apply to installation and maintenance:

• The customer shall provide auxiliary personnel, tools, operating power, water, storage rooms, protective measures and all necessary preparations at his own expense.

• All static, technical and safety-relevant information must be provided in good time.

• The customer shall bear the costs for the environmentally friendly disposal of removed parts.

• If installation is invoiced on a time and material basis, all labor, travel, material and additional costs shall be reimbursed separately.

VI Payment

Invoices are due within 7 days of the invoice date.
In the event of late payment, interest on arrears will be charged in accordance with Swiss law.
SHERIFF Security SRL is entitled to demand a down payment of up to 50% when placing the order.
Partial payments may be demanded for partial services.
The customer may only offset undisputed or legally established claims.

VII Retention of title

În cazul unor defecte, clientul are dreptul la remediere sau înlocuire într-un termen rezonabil.
Dacă remedierea nu are su succes, clientul poate solicita rezoluționarea contractului sau reducerea prețului.

Nu există drepturi de garanție în caz de utilizare necorespunzătoare, uzură naturală, intervenții efectuate de terți sau modificări realizate fără acordul prealabil, în formă scrisă, al SHERIFF Security SRL.

Perioada de garanție este de 24 de luni de la livrare sau punerea în funcțiune, dacă nu s-a convenit altfel, în conformitate cu legislația în vigoare din România.

VIII. Claims for defects

In the event of defects, the customer is entitled to rectification or replacement delivery within a reasonable period of time.
If subsequent performance fails, the customer may withdraw from the contract or demand a price reduction.

No warranty claims can be made in the event of improper use, natural wear and tear, intervention by third parties or modifications without the prior written consent of SHERIFF Security SRL.

The warranty period is 24 months from the date of delivery or commissioning, unless otherwise contractually agreed and in accordance with the applicable Romanian legislation.

IX. Liability

SHERIFF Security AG is only liable for intent and gross negligence. Liability for slight negligence is excluded, provided that no damage to life, body or health is affected.
Liability for consequential damage (e.g. as a result of theft, burglary, non-functioning of the system) is excluded to the extent permitted by law.
The customer is obliged to report recognizable defects or irregularities immediately in writing.

X. Applicable law, place of performance and jurisdiction

The law of Romania shall apply exclusively.
The place of performance and jurisdiction is Bucharest, Romania, to the extent permitted by law.

XI. Data protection

SHERIFF Security SRL is authorized to store and process the customer’s personal data for the purpose of executing the contract, in compliance with the data protection regulations in force in Romania (including GDPR/DSGVO).

XII. Copyright and rights of use

All offers, plans, documents and programs of SHERIFF Security SRL are protected by copyright.
Reproduction or disclosure is only permitted with written consent.
The customer undertakes to use the software provided only for his own purposes and not to pass it on to third parties.

XIII Other

Should individual provisions of these GTC be or become invalid, this shall not affect the validity of the remaining provisions. The parties undertake to agree on a provision that comes as close as possible to the economic purpose of the invalid provision.
